Interstate and online selling require GST from the first sale
The turnover thresholds do not apply if you sell to customers in other states or through a marketplace. Those require GST registration from the first transaction, and marketplaces will not onboard a seller without it. For Surat's growing number of home-based online fabric sellers, this is the registration that actually matters.

Udyam is free, and useful against slow payment
Udyam is the MSME registration. It costs nothing and it brings the MSME protections on delayed payment, which is genuinely useful when your customers are larger processors or trading houses working on long cycles. It is not a substitute for GST, and no one should be charging a substantial fee to obtain it.

A proprietorship cannot take a partner
By definition a proprietorship has exactly one owner. The moment a family member or a colleague is genuinely sharing ownership and profit rather than being paid, the structure has to change to a partnership firm, an LLP or a company. Informally treating someone as a partner while remaining a proprietorship is where Surat's messiest disputes start.

How the process runs
Decide the business name and activity
A proprietorship trades under a business name that is not separately incorporated. We screen the name against registered trade marks so the business is not building recognition on a name it may later have to stop using.
Udyam (MSME) registration
Udyam registration is free, is completed on the government portal against the proprietor's Aadhaar and PAN, and produces a certificate with a Udyam number. It is the most widely accepted proof that a proprietorship exists.
GST registration, where applicable
GST registration is compulsory once turnover crosses the applicable threshold, and irrespective of turnover for inter-state supply of goods, e-commerce supply and certain other categories. Where it is not compulsory, some proprietors still register voluntarily because customers ask for a GST invoice.
Shop and establishment registration
Most states require a shop and establishment registration for a commercial premises. In Gujarat this is handled under the state's shops and establishments legislation through the local authority, and requirements vary by municipality.
Any activity-specific licences
Some activities need their own licence, such as FSSAI for food businesses, Import Export Code for import or export, or a professional tax registration where the state levies it.
Open a current account
Banks open a current account in the business name against the proprietor's PAN and Aadhaar together with the business registration proofs. Under RBI KYC norms most banks ask for two such proofs, which is why Udyam plus GST or a shop licence is the usual combination.

Do I need GST for a job-work unit in Surat?
In practice almost certainly, because the processors and trading houses you invoice need a GST-compliant tax invoice to pay you and claim input credit. Even where your turnover sits below the registration threshold, most larger customers will not work with a supplier who cannot issue a proper tax invoice.
Is there a proprietorship registration certificate?
No. A proprietorship is not incorporated, so no single certificate exists. Anyone offering you a proprietorship certificate is selling something else under that name. What you obtain is the specific registrations your business needs, usually GST, Udyam, and shop and establishment registration where you hold commercial premises.
My brother works with me in the business. Are we a partnership?
It depends on whether he shares ownership and profit or is paid for his work. If he genuinely shares the profits and the risk, you are operating as a partnership in substance without a deed, which is a poor position for both of you. Either document it as a partnership firm or an LLP, or make the employment arrangement explicit. Leaving it unclear is what causes the serious disputes.
