Write down who can extend credit in the firm's name
In a trade that runs on credit, the clause that prevents the worst disputes is the one setting out which partner may commit the firm, up to what limit, and to whom. Any partner can bind the firm by default, so a partner extending generous credit to a buyer they favour can create a liability all the partners carry. A deed covering only capital and profit share leaves this open.

The deed must be executed on stamp paper of the correct value. Stamp duty is set at state level, so it is uniform across Gujarat, but the amount varies with the capital contributed. Incorrect stamping is a frequent reason a deed is questioned later, and we confirm the figure before anything is signed.

Consider whether an LLP is the better version of this
If the partner structure suits you but the unlimited liability does not, an LLP gives you the same arrangement with liability capped, for modestly more compliance each year. Many Surat firms would be better served by an LLP and have simply never priced the comparison. It is worth doing before you execute a new deed.

How the process runs
Agree the commercial terms
Partners settle capital contribution, profit and loss sharing ratios, remuneration and interest on capital, roles, banking authority and what happens when a partner joins, retires or dies.
Draft the partnership deed
Those terms are written into a deed. A deed that is vague about profit sharing, drawings or exit is the single most common source of later disputes between partners, so this is the step worth spending time on.
Stamp and execute the deed
The deed is executed on stamp paper of the value prescribed by the relevant state and signed by all partners in the presence of witnesses. Stamp duty rates differ from state to state.
Apply for the firm's PAN
The firm applies for its own PAN in the firm's name, which the bank will require to open a current account in the name of the business.
Register with the Registrar of Firms
Registration is optional but strongly advisable. The application is made in the prescribed form to the Registrar of Firms for the state, with the deed and the required proofs, and a certificate of registration follows.
Open the bank account and take operating registrations
A current account is opened in the firm's name, and any registrations your activity needs, such as GST or a shop and establishment licence, are applied for.

Is partnership firm registration compulsory in Surat?
No. Registration with the Registrar of Firms is optional under the Indian Partnership Act, 1932, and an unregistered firm is a valid firm. The practical reason to register is that an unregistered firm cannot sue to enforce a contract, which in Surat's credit-based diamond and textile trade removes your main route to recovering money from a defaulting buyer.
Our diamond firm has run on an old deed for years. Should we redo it?
Usually yes, particularly if partners have joined or left since it was written, capital has changed, or the deed does not address credit authority, exit terms and what happens on a partner's death. An old deed that no longer describes the actual arrangement is worse than a clear new one, because it is the document a court would look at.
Should we stay a firm or move to an LLP?
The question to answer is whether unlimited personal liability is a risk you are comfortable carrying. If the business trades on its own funds with little credit exposure, a firm is fine and cheaper. If you extend or take significant credit, which most Surat trading firms do, an LLP caps that exposure while keeping the partner structure, and the extra annual compliance is two forms.
