    Registration with the Registrar of Firms is optional, but an unregistered firm cannot sue to enforce a contract. For a fabrication business with purchase orders, retention money and payment milestones, that removes your main route to recovery if a customer does not pay. It is inexpensive and worth doing at the start.

    Most plant vendor systems will not accept a firm

    If any part of your plan involves supplying the refinery, GSFC or the petrochemical complex directly, be aware that vendor onboarding usually wants an entity on the MCA register, and a partnership firm is not on it. Firms do supply those plants, but generally as a sub-vendor through someone else. If direct supply is the goal, an LLP is the cheaper route to it.

    Stamp duty depends on capital

    The deed must be executed on stamp paper of the correct value. Stamp duty is set at state level and so is uniform across Gujarat, but the amount varies with the capital contributed, and workshop partnerships with machinery brought in as capital often get this wrong. How the process runs

  1. Agree the commercial terms

    Partners settle capital contribution, profit and loss sharing ratios, remuneration and interest on capital, roles, banking authority and what happens when a partner joins, retires or dies.

  2. Draft the partnership deed

    Those terms are written into a deed. A deed that is vague about profit sharing, drawings or exit is the single most common source of later disputes between partners, so this is the step worth spending time on.

  3. Stamp and execute the deed

    The deed is executed on stamp paper of the value prescribed by the relevant state and signed by all partners in the presence of witnesses. Stamp duty rates differ from state to state.

  4. Apply for the firm's PAN

    The firm applies for its own PAN in the firm's name, which the bank will require to open a current account in the name of the business.

  5. Register with the Registrar of Firms

    Registration is optional but strongly advisable. The application is made in the prescribed form to the Registrar of Firms for the state, with the deed and the required proofs, and a certificate of registration follows.

  6. Open the bank account and take operating registrations

    A current account is opened in the firm's name, and any registrations your activity needs, such as GST or a shop and establishment licence, are applied for.

Partnership in Vadodara: common questions

Can a Vadodara partnership firm supply the refinery or petrochemical plants directly?

Usually not as a direct vendor. Most large plant procurement systems verify an entity on the MCA register, and a partnership firm does not appear there. Many firms do work on these sites as sub-vendors through a registered contractor. If direct vendor registration is the aim, an LLP is the lowest-cost structure that satisfies it.

My partner is putting in machinery instead of money. How does that work?

It needs to be written into the deed explicitly: the agreed value of the machinery, whether ownership transfers to the firm or the partner retains it, and what happens to it on retirement or dissolution. This is the most common cause of serious disputes in Vadodara workshop partnerships, and it is entirely avoidable at the drafting stage.

Is registration with the Registrar of Firms compulsory?

No, it is optional under the Indian Partnership Act, 1932, and an unregistered firm is still a valid firm. The reason to register is that an unregistered firm cannot sue to enforce a contract. For a fabrication or supply business that carries receivables, that is a significant practical limitation.
