LLP Agreement (Form 3)
The LLP Agreement sets out profit sharing, duties, decision-making and the process for admitting or removing partners. It must be executed on stamp paper of the value prescribed by the relevant state and filed in Form 3 within 30 days of incorporation.

Will an OEM accept an LLP as a registered vendor?
Most will. An LLP is a body corporate with an LLPIN on the MCA register, which is what the majority of vendor verification checks are looking for. A minority of OEM procurement processes specifically require a company, and some ask for audited accounts covering past years. Check the vendor form of the specific buyer you are registering with, because it varies.
Our foundry is a family partnership. Is an LLP worth the change?
It is, if either of two things is true: you want personal liability capped, or you need to appear on the MCA register for a customer. An LLP delivers both while keeping the partner structure and profit shares you already have. If you sell only locally, carry little credit and have no liability worry, staying a firm is cheaper and perfectly legitimate.
One partner is contributing a CNC machine instead of money. How is that handled?
It goes into the LLP Agreement explicitly: the agreed value of the machine, whether ownership transfers to the LLP or the partner retains it and makes it available, and what happens to it if that partner exits.
